These Terms of Service ("Terms") govern your use of Roster App ("Service"), operated by ZEROTEAM DEV LTD COMPANY, a limited liability company registered in Houston, Texas ("Company", "we", "us", or "our"). By using the Service, you agree to be bound by these Terms.

1. Description of Service

Roster App is an AI-powered scheduling assistant for service businesses. The Service receives SMS messages from your clients, uses artificial intelligence to understand scheduling requests, and responds on your behalf based on your calendar availability, services, and business rules.

2. Account Registration

To use the Service, you must:

• Be at least 18 years of age.
• Provide accurate and complete registration information.
• Maintain the security of your account credentials.
• Accept responsibility for all activity that occurs under your account.

3. Subscription and Payment

• The Service is offered on a monthly subscription basis at the price listed on our website.
• New accounts include a 14-day free trial. You will not be charged during the trial period.
• After the trial, your subscription will automatically renew each month unless cancelled.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• Payments are processed by Stripe. By subscribing, you also agree to Stripe's Terms of Service.
• We reserve the right to change pricing with 30 days' notice.

4. Acceptable Use

You agree not to use the Service to:

• Send unsolicited or bulk messages (spam).
• Transmit harmful, threatening, abusive, or illegal content.
• Violate any applicable laws or regulations, including telecommunications regulations.
• Impersonate any person or entity.
• Interfere with or disrupt the Service or its infrastructure.
• Attempt to gain unauthorized access to the Service or its systems.

5. SMS Messaging Terms

Roster App operates an SMS messaging program to provide customer care communications directly to our customers. Roster App is the sole sender and operator of all SMS messages in this program. The following terms apply:

• All SMS messages are sent and received by Roster App. When you text a Roster App phone number, you are communicating with Roster App.
• Messages include appointment scheduling confirmations, reminders, rescheduling responses, and customer care replies from Roster App.
• Opt-In: You opt in to receive SMS messages from Roster App by sending an initial text message to a Roster App phone number. Roster App phone numbers are published on our website at userosterapp.com, on business cards, signage, and social media profiles. Upon your first message, you will receive a confirmation with program disclosures. Consent to receive messages is not a condition of purchasing any goods or services.
• Opt-Out: You may opt out at any time by replying STOP to any message. We will honor all opt-out requests and send a final confirmation: "Roster App: You are unsubscribed and will receive no further messages." You may re-opt in by texting START or YES.
• Help: Reply HELP to any message for assistance. You will receive support contact information including our email (support@userosterapp.com) and website (userosterapp.com).
• Message Frequency: Message frequency varies based on your interactions and appointment scheduling needs.
• Message and Data Rates: Standard message and data rates may apply depending on your mobile carrier and plan.
• Mobile Information: No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.
• Carrier Liability: Carriers (including T-Mobile, AT&T, Verizon, and others) are not liable for delayed or undelivered messages and are not responsible for the content of messages sent through the Service.

6. AI-Generated Responses

• The Service uses artificial intelligence to generate responses to client messages. While we strive for accuracy, AI responses may occasionally contain errors.
• You are responsible for reviewing and managing the AI's interactions with your clients.
• The Service will escalate complex, sensitive, or unclear requests to you for manual handling.
• We do not guarantee that AI responses will be error-free or meet all business requirements in every situation.

7. Your Data

• You retain ownership of all data you provide to the Service, including client information and business details.
• You grant us a limited license to use your data solely for the purpose of providing the Service.
• We will handle your data in accordance with our Privacy Policy.
• You are responsible for obtaining any necessary consents from your clients for data processing.

8. Intellectual Property

The Service, including its software, design, and content, is owned by ZEROTEAM DEV LTD COMPANY and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify and hold harmless the Company, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

12. Termination

• You may terminate your account at any time by cancelling your subscription.
• We may suspend or terminate your account if you violate these Terms or for any other reason with reasonable notice.
• Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days, after which it will be deleted.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws provisions. Any disputes arising from these Terms shall be resolved in the courts located in Harris County, Texas.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
